1. Acceptance of Terms
By accessing or using the ADGTech enterprise AI automation platform ("Platform") operated by ADGTech Solutions Inc. ("ADGTech", "we", "our"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, you must not use the Platform.
2. Description of Services
ADGTech provides an enterprise AI automation platform offering AI workflow automation, AI agents, marketing intelligence, content automation, analytics, knowledge management, and related services. The specific features available to you depend on your subscription plan or enterprise contract.
3. Accounts and Access
Authorized Users
Your subscription entitles a defined number of authorized users (as specified in your plan or contract) to access the Platform. You are responsible for ensuring only authorized users access your account.
Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@adgtech.ai if you suspect unauthorized access.
Customer Responsibilities
You are responsible for: the accuracy of data you input into the Platform; configuring permissions for your authorized users; compliance with applicable law in your use of the Platform; and reviewing AI outputs before regulated or business-critical use.
4. Acceptable Use
You must not use the Platform in violation of our Acceptable Use Policy. Prohibited uses include fraud, spam, misleading advertising, unauthorized data collection, and illegal content generation.
5. AI Features and Limitations
AI automation features are provided as decision-support tools. AI outputs may contain errors, inaccuracies, or hallucinations. Customers are responsible for reviewing, validating, and approving AI-generated content and automation outputs before use.

6. Subscription Plans, Billing, and Payment
Subscription Plans
Subscriptions are offered on monthly or annual terms. Plan details, feature limits, and pricing are described on the pricing page. Enterprise plans are governed by separate contracts.
Billing
Subscription fees are billed in advance on your billing cycle. Enterprise customers may be invoiced on net terms as specified in their contract. See Billing Policy.
Taxes
Prices exclude applicable taxes. Canadian customers may be charged GST/HST/PST depending on province. US customers may be subject to state and local sales tax where applicable.
Renewals
Subscriptions renew automatically at the end of each billing period unless cancelled in advance per the Cancellation Policy.
Refunds
Refunds are governed by the Refund Policy. SaaS subscriptions are generally non-refundable after the applicable review period.
7. Intellectual Property
ADGTech Technology
ADGTech Solutions Inc. owns all rights, title, and interest in the Platform, including its AI automation frameworks, workflow orchestration systems, software, user interfaces, and trademarks. Nothing in these Terms transfers any ADGTech intellectual property rights to you.
Customer Data
Customers retain ownership of all data, content, and intellectual property they input into or generate using the Platform. You grant ADGTech a limited license to process your data solely to deliver contracted services.
8. Third-Party Integrations
The Platform integrates with third-party services (CRM, email, calendar, ERP, and others). Third-party integrations are subject to the terms and privacy policies of those providers. ADGTech is not responsible for the conduct or data handling of third-party services.
9. Service Availability
ADGTech targets high platform availability but does not guarantee uninterrupted access. Scheduled maintenance, force majeure events, and circumstances beyond our control may affect availability. Availability targets and support response times are defined in the Service Level Agreement.
10. Disclaimers
The Platform is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. ADGTech does not warrant that the Platform will be error-free or that AI outputs will be accurate, complete, or reliable for any particular purpose.
11. Limitation of Liability
To the maximum extent permitted by applicable law, ADGTech's liability to you for any claim arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim. In no event shall ADGTech be liable for indirect, incidental, special, consequential, or punitive damages.
12. Indemnification
You agree to indemnify and hold harmless ADGTech Solutions Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from: your use of the Platform in violation of these Terms; your content or data; or your violation of applicable law.
13. Suspension and Termination
ADGTech may suspend or terminate your access for violation of these Terms, non-payment, or conduct that poses a risk to the Platform or other customers. You may cancel your subscription per the Cancellation Policy.
14. Governing Law
These Terms are governed by the laws of Canada and the applicable province in which ADGTech Solutions Inc. is registered, without regard to conflict of law principles. Disputes shall be resolved in the courts of that jurisdiction unless otherwise specified in an enterprise contract.
15. Changes to Terms
ADGTech may update these Terms from time to time. Material changes will be communicated to account administrators with at least 30 days notice. Continued use after notice constitutes acceptance.
